Do I need a registered agent in California—and can I be my own?

Yes. Every CA entity must list an “agent for service of process.” It can be an individual who resides in California or a registered corporate (1505) agent. You may serve as your own agent if you meet the residency/address requirements.

What’s the first official filing to form a California LLC or corporation?

For an LLC, file Articles of Organization (Form LLC-1) with the CA Secretary of State. For a corporation, file Articles of Incorporation (Form ARTS-GS). Both can be filed online via bizfile Online.

When are Statements of Information due?

LLCs and corporations must file an initial Statement of Information within 90 days of registration. After that: LLCs file every two years (biennially); corporations file annually. Missing filings can trigger penalties and suspension/forfeiture.

Do California LLCs owe the $800 franchise tax in the first year?

For current rules: California LLCs are not subject to the $800 annual tax for their first tax year, but they still may owe the separate LLC fee if California-sourced income is ≥ $250,000. After the first year, the $800 tax applies.

What’s the deadline to make an S-corp election?

To be effective for the first tax year, file IRS Form 2553 within 2 months and 15 days after the start of that tax year (late election relief may be available, but don’t rely on it).
