Understanding your options

When the Deal Falls Apart, the Documents Are Only the Beginning

A Contract Is Only as Strong as Your Willingness to Enforce It.

What Is Breach of Contract?

A breach of contract happens when one party fails to perform under a valid agreement — by not delivering, not paying, not completing the work, or otherwise walking away from what they promised. In California, you may have a claim for damages, specific performance, or both, depending on the type of breach and the language of the agreement.

Common matters include:

Business-to-business contract disputes

Vendor, supplier, and service agreement breaches

Construction and real estate contract claims

Partnership and shareholder agreement disputes

Non-compete, non-disclosure, and confidentiality violations

These cases turn on the language of the contract, the timing of the breach, and the strength of your documentation — the sooner you talk to an attorney, the more leverage you keep.

A breach of contract isn’t always about the courtroom — it’s about whether the other side believes you’re prepared to go there. Our job is to make sure they do.

Words From Clients

What makes us different.

We read every contract like it’s the only document that matters in your case because, in court, it often is. Where some attorneys file first and read later, we start with the agreement’s language, the timeline of performance, and the practical leverage on both sides, then build a strategy that puts you in the strongest position before the first letter is sent. Our bilingual service (English & 中文) serves businesses and individuals across Los Angeles, the San Gabriel Valley, and Orange County with focus, flexibility, and the kind of preparation that quietly wins cases.

Frequently asked questions

What counts as a “breach” of contract in California?

A breach happens any time one party fails to perform what the contract requires, without a legal excuse. That can mean non-payment, missed deadlines, incomplete work, defective goods, or walking away from the agreement entirely. Whether the breach is “material” (serious enough to undo the deal) or “minor” (real but not deal-breaking) shapes what you can recover.

Do I need a written contract to sue?

Not always. California recognizes oral contracts in many situations, but they come with a shorter window to file (two years versus four for written agreements) and a higher burden to prove. Emails, invoices, text messages, and a documented course of dealing can all help establish an oral agreement — but a written contract is always the stronger foundation.

How long do I have to file a breach of contract lawsuit?

Generally, four years for a written contract and two years for an oral one, measured from the date of the breach. There are exceptions and tolling rules that can shorten or extend that window, which is why we encourage clients to talk to an attorney as soon as a breach is clear — not after waiting to see if the other side comes around.

What can I recover if I win?

It depends on the contract and the breach, but California courts typically award compensatory damages (the value of what you lost), and in some cases consequential damages, specific performance (forcing the other side to do what they promised), or rescission of the contract. If the contract includes an attorney’s fees clause, those may be recoverable as well.

Will my case have to go to trial?

Most don’t. The majority of breach of contract disputes resolve through demand letters, structured negotiation, or mediation long before a courtroom is involved. That said, the credibility of your case at trial is often what brings the other side to the table — which is why we prepare every matter as if it could end in front of a judge.

Every Day You Wait Is Leverage You’re Losing

When someone breaks an agreement they signed with you, time isn’t on your side. Evidence gets older, memories fade, the statute of limitations keeps running, and the other side gets more confident the longer you stay quiet. A single conversation can tell you what your contract is actually worth, what your timeline looks like, and what your next move should be — before you’ve committed to anything.
